Biographies Robert J. Borghese

Robert J. Borghese is a corporate and transactional attorney in private practice in Philadelphia, Pennsylvania and New York, New York. His practice focuses on advising emerging growth companies on new venture structuring and formation, corporate strategic planning, private equity and debt financings, and general corporate legal and transactional issues including technology development and licensing, mergers and acquisitions, employment, intellectual property and joint ventures and strategic alliances.

Mr. Borghese has represented entrepreneurs from inception through the creation of billion-dollar enterprises across a range of industries including technology, healthcare, and financial services.

For the past eighteen years, Mr. Borghese has been a member of the faculty of the Wharton School of the University of Pennsylvania, where he teaches the top-rated course in the Wharton M.B.A. and Executive M.B.A. programs, entitled Legal and Transactional Aspects of Entrepreneurship. He is the author of M&A from Planning to Integration: Executing Acquisitions and Increasing Shareholder Value, published by McGraw-Hill in English and Chinese language versions. He has appeared as a guest on CNBC’s Power Lunch and CNNfn’s The Money Gang and has been quoted in Fortune, Forbes, and Inc. Mr. Borghese lectures extensively on entrepreneurship and venture initiation.

Mr. Borghese is Vice-Chairman of the Advisory Board of the Port Fund, a Kuwait-based private equity fund focused on port facility and related logistics investments in the Middle East, Europe and Asia.

Mr. Borghese is AV-rated by Martindale-Hubbell and was included on Smart CEO's 2010 Legal Elite list.

Mr. Borghese is a graduate of the University of Pennsylvania Law School. He has an M.A. in Economics from King’s College, Cambridge University, England, and a B.S. in Finance from the Wharton School of the University of Pennsylvania.

In addition to his legal practice, Mr. Borghese has been involved as a founder and principal investor in a number of business ventures. Mr. Borghese is a founder and partner in Miro Capital Partners LLC, a private investment fund that focuses on investments in technology, real estate and financial services companies. In 2008, Miro acquired the managed telecom assets of Fiberlink Communications Corporation (a Goldman Sachs portfolio company), turned around the business and sold the business to ANXeBusiness Corp. (a J.P. Morgan Chase portfolio company). Miro has also invested in Sivox Holdings LLC, a voice-recognition driven simulation technology company, and Corporate Training Technologies, LLC, a financial services regulatory compliance software and training company. In 2011, Miro launched North 90 Financial LLC, an investment fund focused on the acquisition of distressed mortgage assets. In addition, Miro is a sponsor and general partner in real estate investment partnerships focused on the acquisition and development of multifamily and commercial office assets. Mr.tp Borghese is also a founder and partner in Stonehedge Funding LLC, a real estate merchant bank that provides acquisition and development financing for commercial real estate projects.


Gloria S. Dichter

Gloria S. Dichter is a corporate and transactional attorney who has extensive experience through working in the legal departments of several financial institutions and companies. Most recently, Ms. Dichter served as in-house counsel for Moody’s Economy.com where she was responsible for negotiating licensing and consulting agreements, providing general legal advice and monitoring compliance with internal policies. Prior to that, Ms. Dichter was in the legal departments of Deutsche Securities Limited in Tokyo Japan, and WestLB A.G., New York, New York, where she worked on structuring financial products such as interest rate, foreign exchange and credit derivatives. She also negotiated ISDA and other derivatives documentation, provided advice with respect to banking and securities transactions, coordinated with outside counsel on regulatory and compliance issues and performed other general legal work. Ms. Dichter started her career as an associate at Cadwalader, Wickersham & Taft in New York, New York where she worked on securitization and derivative transactions.

Ms. Dichter graduated from Harvard Law School in 1994. She has a B.A. in Economics/Business from the University of California, Los Angeles. She is admitted to practice law in the State of New York.
